Terms of Service

Welcome to Speak2Me. These Terms of Service ("Terms") are a legally binding agreement between you and Developer Branded LLC, a Nevada S-Corporation ("Speak2Me," "we," "our," or "us"), regarding your use of the Speak2Me website, application, and related services (collectively, the "Service").

BY CREATING AN ACCOUNT OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

These Terms include our Privacy Policy, which is incorporated by reference.

1. Service Overview

Speak2Me provides voice-first AI journal and study tools through which users may engage in voice or text conversations with AI-powered features, including journaling, study mode, and related functionality ("Service"). The Service uses third-party AI language models, voice processing, and other technologies to generate responses.

THE SERVICE IS FOR INFORMATIONAL, EDUCATIONAL, AND PERSONAL USE ONLY. The Service is not a substitute for professional medical, psychological, psychiatric, therapeutic, legal, financial, or any other professional advice, diagnosis, or treatment. AI-generated responses may be inaccurate, incomplete, or misleading. Any reliance you place on information provided by the Service is strictly at your own risk.

IF YOU ARE EXPERIENCING A MEDICAL OR MENTAL HEALTH EMERGENCY, CALL 911 OR YOUR LOCAL EMERGENCY NUMBER IMMEDIATELY. IF YOU ARE EXPERIENCING A MENTAL HEALTH CRISIS, CALL OR TEXT 988 (SUICIDE AND CRISIS LIFELINE).

Speak2Me is not responsible for any health, safety, emotional, or social concerns associated with your use of the Service. If you have questions regarding your health, mental condition, or wellbeing, consult a qualified professional.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that:

  • You are at least 18 years of age.
  • You have not previously been suspended or removed from the Service.
  • Your use of the Service complies with all applicable laws and regulations.

We do not knowingly provide the Service to anyone under 18. If we learn that a user is under 18, we will terminate their account.

3. Accounts

To use certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information when creating your account and to keep it up to date.

We reserve the right to suspend or terminate your account at any time, for any reason, with or without notice, including for violation of these Terms.

4. Subscription and Payments

4.1 Pricing

Certain features of the Service require a paid subscription. Current pricing is displayed on our website. All fees are in U.S. Dollars and are non-refundable except as required by law.

We reserve the right to change pricing at any time. If we change the price of your subscription, we will provide you with reasonable advance notice before the change takes effect. Your continued use of the Service after a price change constitutes your acceptance of the new price.

4.2 Subscriptions

Paid subscriptions automatically renew at the end of each billing period (monthly) unless you cancel before the renewal date. You authorize us or our third-party payment processor to charge the applicable subscription fee to your payment method on a recurring basis.

4.3 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at support@speak2me.io. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of the period you have already paid for. No refunds or credits will be issued for partial billing periods.

4.4 Free Tier and Trials

We may offer free usage allowances or trial periods. We reserve the right to modify, limit, or discontinue free offerings at any time without notice.

4.5 Overage Charges

If your plan includes a voice minute allowance and you exceed it, additional voice minutes will be charged at the overage rate specified in your plan. By continuing to use voice features after exceeding your allowance, you authorize us to charge the applicable overage fees.

5. Your Content

5.1 Ownership

You retain ownership of all content you submit to the Service, including conversation transcripts, study materials, custom topics, and any other materials you provide ("User Content"). By submitting User Content, you grant us a limited, non-exclusive, worldwide license to store, process, and use your User Content solely to provide and operate the Service for you.

This license does not grant us the right to sell, share, publish, or use your User Content for any purpose other than providing the Service to you, including but not limited to training AI models.

5.2 AI-Generated Output

The Service generates AI responses based on your input ("Output"). Output is generated by third-party AI models and may be inaccurate, incomplete, biased, or misleading. You are solely responsible for evaluating and verifying any Output before relying on it.

You may use Output for your personal, non-commercial purposes. We do not claim ownership of Output generated in response to your input.

5.3 Responsibility for User Content

You are solely responsible for your User Content and the consequences of submitting it. You represent and warrant that:

  • You own or have the necessary rights to submit all User Content.
  • Your User Content does not infringe any third-party rights.
  • Your User Content does not violate any applicable law or regulation.

5.4 Prohibited Content

You agree not to submit User Content that:

  • Is illegal, threatening, abusive, harassing, defamatory, or otherwise objectionable.
  • Contains malware, viruses, or other harmful code.
  • Infringes any intellectual property or proprietary rights of any third party.
  • Impersonates any person or entity.
  • Contains the personal information of another person without their consent.

We reserve the right to remove any User Content that violates these Terms, without notice.

6. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable law.
  • Use the Service to generate content that is harmful, abusive, threatening, or harassing.
  • Attempt to gain unauthorized access to any part of the Service, other users' accounts, or any systems or networks connected to the Service.
  • Use the Service to develop or train any AI or machine learning model.
  • Scrape, crawl, or use automated means to access or extract data from the Service.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Sell, resell, license, or commercially exploit the Service or access to the Service.
  • Interfere with or disrupt the Service or servers or networks connected to the Service.
  • Use the Service in any manner that could disable, overburden, or impair the Service.
  • Circumvent any security features or access controls of the Service.
  • Use the Service to send spam or unsolicited communications.
  • Misrepresent AI-generated Output as human-created content where such misrepresentation could cause harm or violate applicable law.

We reserve the right to suspend or terminate your access to the Service for any violation of this section.

7. Intellectual Property

The Service, including its design, features, functionality, code, graphics, and all other elements (collectively, "Materials"), is owned by Developer Branded LLC and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms.

You may not copy, modify, distribute, sell, or create derivative works based on the Service or any Materials without our prior written consent.

8. Third-Party Services

The Service relies on third-party providers for AI processing, voice processing, hosting, database storage, and other functions. We are not responsible for the acts or omissions of any third-party service provider. Your use of any third-party service is subject to that provider's terms and policies.

The Service may contain links to third-party websites or services. We do not control and are not responsible for the content, privacy practices, or availability of any third-party websites or services.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
  • THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE.
  • ANY ERRORS IN THE SERVICE WILL BE CORRECTED.
  • THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

THE SERVICE USES AI AND MACHINE LEARNING TECHNOLOGIES THAT PRODUCE OUTPUTS BASED ON PROBABILISTIC REASONING. OUTPUTS MAY BE INACCURATE, INCOMPLETE, BIASED, OR MISLEADING. WE ARE NOT RESPONSIBLE FOR ANY DECISIONS OR ACTIONS YOU TAKE BASED ON OUTPUT FROM THE SERVICE.

THE SERVICE DOES NOT CONSTITUTE MEDICAL, PSYCHOLOGICAL, LEGAL, FINANCIAL, OR ANY OTHER PROFESSIONAL ADVICE. DO NOT RELY ON THE SERVICE FOR ANY PROFESSIONAL PURPOSE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DEVELOPER BRANDED LLC AND ITS OWNER, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES ("SPEAK2ME ENTITIES") WILL NOT BE LIABLE TO YOU FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
  • LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.
  • DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
  • DAMAGES ARISING FROM ANY CONTENT OBTAINED FROM THE SERVICE.
  • DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA.

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

11. Indemnification

You agree to defend, indemnify, and hold harmless the Speak2Me Entities from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Service.
  • Your User Content.
  • Your violation of these Terms.
  • Your violation of any third-party rights.
  • Your violation of any applicable law or regulation.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense.

12. Dispute Resolution

12.1 Informal Resolution

Before filing any legal claim, you agree to first contact us at legal@speak2me.io and attempt to resolve the dispute informally for at least 30 days.

12.2 Governing Law

These Terms are governed by the laws of the State of Nevada, without regard to its conflict of law provisions.

12.3 Jurisdiction

Any legal action or proceeding arising under these Terms will be brought exclusively in the state or federal courts located in Clark County, Nevada, and you consent to the personal jurisdiction of such courts.

12.4 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND SPEAK2ME AGREE THAT ANY CLAIMS WILL BE BROUGHT ONLY IN YOUR OR OUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

13. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, temporarily or permanently, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms.

If you do not agree with the updated Terms, you must stop using the Service and may request deletion of your account.

15. Termination

15.1 By You

You may terminate your account at any time through your account settings or by contacting us at support@speak2me.io.

15.2 By Us

We may terminate or suspend your account and access to the Service at any time, for any reason, with or without notice, including for violation of these Terms.

15.3 Effect of Termination

Upon termination:

  • Your license to use the Service immediately ends.
  • You must cease all use of the Service.
  • We may delete your account and associated data in accordance with our Privacy Policy.
  • Any accrued payment obligations survive termination.
  • Sections 5 (Your Content), 7 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), and 12 (Dispute Resolution) survive termination.

16. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Speak2Me regarding the Service.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment. You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms at any time without notice.

No Agency. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Speak2Me.

Force Majeure. We will not be liable for any failure or delay in performing our obligations under these Terms due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, strikes, government actions, power failures, internet disruptions, or third-party service failures.
